Are you a commercially minded legal professional who enjoys turning complex legal and regulatory issues into clear, practical business solutions?

We are looking for a Head of Legal, Governance & Executive Affairs to work closely with our Executive Directors in a unique, high-trust role that extends well beyond traditional legal advisory. You will be a key partner in researching and resolving complex matters, strengthening corporate governance and regulatory compliance, coordinating board and statutory processes, and driving important executive and cross-functional projects through to completion.

This is a hands-on role for someone who can move confidently between legal analysis, practical business advice, governance, compliance and execution. You will review and draft agreements, advise on legal and regulatory risk, coordinate external legal specialists, support boards and executive decision-making, monitor legislative developments, and help translate decisions into practical action across the Group.

You’ll also operate as a trusted extension of the Executive Directors’ office, preparing decision briefs, attending priority meetings, coordinating sensitive matters and ensuring agreed actions don’t simply remain on a to-do list, but are followed through to completion.

If you have an LLB or equivalent recognised legal qualification, at least 3 – 4 years’ relevant post-qualification experience, sound legal and business judgement, and the confidence to work with senior executives and multiple stakeholders, this is an opportunity to take on a broad and influential role where your legal expertise will directly support better business decisions.

PURPOSE OF THE POSITION

The Head of Legal, Governance & Executive Affairs serves as a trusted adviser and execution partner to the Executive Directors. The role consolidates high-level legal support, corporate governance, statutory and regulatory compliance, executive-office coordination and selected operational responsibilities into one accountable function.

SCOPE

The Head of Legal, Governance & Executive Affairs reports to the Executive Directors. The Head of Legal supports the Executive Directors by providing concise, well-researched and commercially practical advice on material legal, regulatory, governance and operational matters. The applicant is expected to reduce the Executive Directors’ operational and administrative burden, improve the quality and speed of executive decisions, ensure that material matters are properly researched and documented, and drive agreed actions through to completion across the Group.

RESPONSIBITIES

EXECUTIVE LEGAL ADVISORY AND LEGAL TRIAGE

  • Act as the Executive Directors’ first point of reference for complex legal and quasi-legal business questions, applying sound judgement as to what can be handled internally and what requires specialist external advice.
  • Research, analyse and prepare concise recommendations on corporate, commercial, contractual, employment, regulatory and industry-specific matters.
  • Review, draft and coordinate commercial agreements, notices, resolutions, policies, mandates, correspondence and other legal or governance documents.
  • Identify legal exposure, practical options, decision points and implementation consequences, rather than merely restating legal rules.
  • Maintain a central legal-matters register, including material contracts, disputes, advice received, deadlines, responsible executives and current status.
  • Brief and manage external attorneys, counsel and specialists; control scope, instructions, timelines and costs; and convert advice into implementable business actions.
  • Support the management of disputes, claims, investigations and regulatory engagements, without assuming reserved legal functions for which external representation is required.

CORPORATE GOVERNANCE AND COMPANY SECRETARIAL SUPPORT

  • Coordinate board, committee and shareholder processes across relevant Group entities, including annual calendars, agendas, board packs, resolutions, minutes and action registers.
  • Advise the Executive Directors and relevant office-bearers on governance processes, delegated authority, conflicts of interest, directors’ duties and decision-making requirements.
  • Maintain or oversee statutory records, registers, corporate documents, mandates and governance policies, together with secure version control and retention.
  • Monitor the implementation of board and shareholder decisions and provide exception reporting where actions are overdue or at risk.
  • Coordinate required filings and changes with CIPC and other bodies, using appropriately authorised internal or external service providers.
  • Support director induction, declarations of interest, annual governance reviews and related board effectiveness processes.

STATUTORY, REGULATORY AND INDUSTRY COMPLIANCE   

  • Develop and maintain an integrated compliance universe and calendar covering legislation, licences, registrations, returns, policies and recurring reporting obligations relevant to the Group.
  • Coordinate compliance relating to applicable company, property, community-scheme, data-protection, employment, consumer, financial and related regulatory frameworks.
  • Track developments affecting the Group, including requirements arising from the Companies Act, POPIA, PAIA, PPRA framework, Community Schemes Ombud Service framework, Sectional Titles Schemes Management framework and other applicable legislation.
  • Translate legal and regulatory changes into concise management briefings, risk assessments, policy changes, training or operational actions.
  • Coordinate regulatory submissions, industry returns, surveys, information requests and management attestations, with clear evidence of review and approval.
  • Support internal audits, regulatory inspections, due-diligence exercises and remediation plans, and report material non-compliance promptly.

EXECUTIVE AFFAIRS AND EXECUTIVE DIRECTORS’ OFFICE SUPPORT

  • Operate as a high-trust extension of the Executive Directors’ office and take ownership of selected operational, governance and strategic matters delegated by the Executive Directors.
  • Prepare decision briefs, meeting packs, correspondence, presentations, position papers and executive summaries on behalf of the Executive Directors and at the required standard.
  • Represent the Executive Directors in internal or external meetings, within a clearly defined mandate, including meetings convened to address and resolve client queries; report material discussions, commitments and required follow-up accurately and promptly.
  • Take instructions from the directors of DMS and Intigor Holdings where required, subject to agreed reporting lines, delegated authority and Group priorities, and escalate any conflicting or unclear instructions to the Executive Directors.
  • Attend priority meetings, record decisions accurately, assign actions and follow up with executives and other stakeholders until completion.
  • Triage incoming matters according to urgency, materiality, legal risk and strategic importance; resolve routine matters independently within mandate and escalate exceptions.
  • Protect the Executive Directors’ time by ensuring that matters presented for decision are complete, researched and accompanied by a clear recommendation.
  • Handle highly confidential and sensitive information with appropriate judgement, access control and discretion.

OPERATIONAL COORDINATION AND SPECIAL PROJECTS  

  • Lead or coordinate cross-functional projects assigned by the Executive Directors, particularly where legal, governance, compliance and operational issues intersect.
  • Establish clear project scopes, owners, milestones, dependencies and escalation points, and provide concise progress reporting.
  • Identify recurring operational friction and recommend improved controls, policies, workflows, templates and delegations.
  • Coordinate due diligence, restructurings, transactions, board-approved initiatives and other sensitive projects with internal and external stakeholders.
  • Ensure that executive commitments made to boards, shareholders, regulators, clients or business partners are tracked and fulfilled.

AUTHORITY AND DECISION BOUNDARIES

  • May obtain information, convene internal stakeholders and require progress updates on matters formally delegated by the Executive Directors.
  • May represent the Executive Directors in client-query and other meetings only within the scope of an approved mandate and may not make commitments beyond that mandate.
  • May resolve matters within approved policies, delegations, budgets and risk parameters.
  • Must escalate matters involving material financial exposure, litigation, regulatory breach, reputational risk, conflicts of interest, director or shareholder rights, employment termination, or commitments outside approved authority.
  • May not provide reserved legal services, bind a Group company, waive rights, settle disputes or make regulatory admissions unless specifically authorised.
  • Does not replace the statutory responsibilities of directors, prescribed officers, information officers, compliance officers or a formally appointed company secretary.

MINIMUM QUALIFICATION

  • LLB or equivalent recognised legal qualification.
  • Admission as an attorney or advocate is strongly preferred.
  • A company secretarial, corporate governance, compliance or business qualification would be advantageous.

EXPERIENCE

  • At least 3 – 4 years’ relevant post-qualification experience, including meaningful exposure to senior executives, boards or business owners
  • Demonstrated experience in corporate and commercial law, governance, statutory compliance, contract review and executive-level reporting.
  • Experience in property management, community schemes, financial services, insurance, technology or another regulated service industry would be advantageous.
  • Proven ability to manage several sensitive workstreams, apply judgement independently and drive senior stakeholders to completion.

KNOWLEGDE, SKILLS AND ABILITIES

  • The applicant must have proficient knowledge in the following areas:
  • Strong working knowledge of South African corporate governance and commercial legal principles.
  • Ability to interpret legislation, regulations, contracts and formal advice and convert them into practical business actions.
  • Excellent legal drafting, business writing, minute-taking and executive-summary skills.
  • Commercial acumen and the ability to balance legal protection, operational practicality, cost and speed.
  • Strong planning, project-management, stakeholder-management and follow-through capability.
  • Confidence using document-management, workflow, research and productivity technology, including responsible use of AI-assisted tools subject to confidentiality controls.

WORKING CONDITIONS

The applicant will be based in an open plan office or working remotely as per company specifications and schedules and will be faced with constant interruptions from different role players.  There are a number of deadlines and expected turn – around times within this position, which may cause the applicant stress. The applicant is further required to work accurately with a minimum tolerance for data entry errors. The applicant will be required to deal with a wide variety of personalities on various matters.  The applicant will be required to train new appointees on processes and the system, and to oversee colleagues in the completion of assigned tasks.
